Terms of Service

Power AMS, Inc. ("Power AMS", "we") provides a hosted platform for associations and event-driven organizations — member management, event registration, communications, badge printing, and a mobile event app — accessible at app.powerams.com.

Eligibility

You must be at least 18 years old and authorized to bind your organization to these terms.

Credentials

You are responsible for keeping your login credentials secure and for everything that happens under your account. Notify us at info@powerams.com if you suspect unauthorized access.

Subscription fees are described on our pricing page. Annual contracts are billed in advance; month-to-month subscriptions are billed monthly. Fees are non-refundable except where required by law.

Add-on event revenue fees (Registration Processing, Lead Retrieval) are billed as incurred or invoiced per event, as described in your order.

You retain ownership of the data you and your members put into PowerAMS. You grant us a limited license to host, process, and display that data solely to provide the service.

You agree not to:

• Use the service to send spam or violate anti-spam laws.
• Upload malware or attempt to compromise the security of the platform.
• Reverse-engineer, scrape, or resell the service without our written consent.
• Use the service to harass, defraud, or harm others.
• Use the service in violation of any applicable law.

We may suspend or terminate your access for material breach of these terms, non-payment, or to comply with the law. On termination, you may export your data for 30 days, after which we may delete it.

The service is provided "as is." To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Power AMS will not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in Florida.

We may update these terms from time to time. Material changes will be flagged with an updated "Last updated" date and, where appropriate, notified to active customers by email.
